These Terms & Conditions (the "Terms") govern your access to and use of the Fresko website, application and related services (together, the "Service"), operated by Fresko ("Fresko", "we", "us"). By creating an account, accessing the Service or clicking to accept these Terms, you agree to them. If you do not agree, do not use the Service.
If you are entering into these Terms on behalf of a company or other organisation, you confirm you have authority to bind it, and "you" means that organisation.
1. The Service
Fresko is an AI-assisted social media marketing tool. It analyses your public online presence to build a "Business DNA", proposes content strategy, generates copy and visuals, and — where you connect a social account — publishes content that you have approved.
We may add, change or remove features at any time. Where a change materially reduces the core functionality of a paid plan, we will give you reasonable notice.
2. Eligibility and accounts
- You must be at least 16 years old and capable of forming a binding contract.
- The Service is intended for business and professional use.
- You must provide accurate account information and keep it up to date.
- You are responsible for all activity under your account and for keeping your credentials secure. Tell us promptly at [email protected] if you suspect unauthorised access.
- You may start using parts of the Service as a guest, but an account is required to save your work, and we may associate your guest activity with your account once you register.
3. Beta access
Parts of the Service are offered in closed beta, by invitation code, and may be labelled beta, preview or early access. Beta features are provided "as is", may change or be withdrawn without notice, may contain defects, and are excluded from any service commitment. We may collect additional usage data and feedback during beta in order to improve the Service.
4. Plans, fees and billing
- Paid plans, their prices and their included post allowances are described on our pricing page. Prices are in euro and exclude VAT and other applicable taxes unless stated otherwise.
- Subscriptions renew automatically for successive terms (monthly or annual, as selected) until cancelled.
- Fees are charged in advance at the start of each term through our payment provider. You authorise us to charge your payment method on each renewal.
- You can cancel at any time from your account. Cancellation takes effect at the end of the current paid term; you keep access until then.
- Except where required by law, fees already paid are non-refundable, and we do not refund partial terms or unused allowances.
- Usage above your plan's allowance may be blocked, or billed as overage where you have opted into it.
- We may change prices with at least 30 days' notice before the change applies to your next renewal. Continuing to use the Service after that date means you accept the new price.
- If payment fails, we may suspend the Service until the balance is settled.
5. Your content
"Your Content" means everything you submit or connect to the Service: your website URL, brand assets, logos, fonts, images, briefs, edits, and material from accounts you connect.
- You keep all ownership of Your Content. We claim no ownership in it.
- You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, adapt and transmit Your Content solely to operate, secure, support and improve the Service, including sending it to our AI model providers to generate output for you. This licence ends when you delete the content or close your account, subject to the retention periods in our Privacy Policy.
- You confirm you own Your Content or have all rights and permissions needed to submit it and to have it processed and published as described here, and that it does not infringe anyone's rights.
- We do not use Your Content to train third-party foundation models, and we contract with our model providers on terms that prohibit them from doing so.
6. AI output
- "Output" means the strategy, copy, images and other material the Service generates for you.
- As between you and Fresko, and to the extent it is capable of ownership, you own the Output generated for your account. We assign to you whatever rights we may hold in it.
- Output is generated by AI and may be inaccurate, misleading, biased, non-compliant or infringing. Similar or identical output may be generated for other users. You are solely responsible for reviewing, fact-checking and approving anything before you publish it, and for ensuring it complies with advertising, consumer-protection, intellectual-property and platform rules.
- Nothing the Service generates is legal, financial, medical or other professional advice.
- You are the publisher of everything posted through the Service and are responsible for it.
7. Acceptable use
You must not, and must not allow anyone else to:
- use the Service to create or distribute unlawful, defamatory, deceptive, harassing, hateful or sexually explicit content, or content that exploits or endangers minors;
- impersonate any person or organisation, or misrepresent your affiliation with one;
- submit a website or account you have no right to analyse, or use the Service to scrape, mine or repurpose third-party sites for anyone other than the business you legitimately represent;
- generate spam, bulk unsolicited messaging, or content designed to manipulate platform ranking or engagement systems;
- infringe intellectual property, privacy, publicity or contractual rights;
- reverse engineer, decompile, scrape or attempt to extract the source code, models, prompts or underlying data of the Service, except to the extent that restriction is prohibited by law;
- resell, sublicense or provide the Service to third parties outside the scope of your plan, or use it to build a competing product;
- probe, overload, interfere with or circumvent the security, rate limits, allowances or access controls of the Service;
- access the Service by automated means other than through interfaces we provide.
We may investigate suspected breaches, and may suspend or terminate access, remove content, or report to the authorities where we reasonably believe it is necessary.
8. Connected platforms
Connecting a third-party account (for example Facebook or Instagram) authorises us to act on your behalf within the permissions you grant, including publishing content you approve. Your use of those platforms remains governed by their own terms and policies, and you must comply with them. We are not responsible for a third-party platform's availability, changes to its APIs, or its decisions to remove content or restrict your account. You can disconnect at any time from your account settings.
9. Our intellectual property
The Service — including its software, models, prompts, design, and the Fresko name and logo — is owned by Fresko and its licensors and is protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service in accordance with these Terms and your plan. All rights not expressly granted are reserved.
If you send us feedback or suggestions, we may use them without restriction or obligation to you.
10. Availability and support
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may carry out maintenance, and may suspend the Service where necessary for security, legal or operational reasons. Unless a separate written service level agreement applies to your plan, the Service is provided without an uptime commitment.
11. Disclaimers
To the maximum extent permitted by law, the Service and all Output are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service will produce any particular marketing, commercial or engagement result.
Nothing in these Terms excludes or limits rights you have as a consumer that cannot be excluded under applicable law.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill, data or business opportunity, however caused.
Our total aggregate liability arising out of or relating to the Service or these Terms is limited to the greater of (a) the fees you paid us in the twelve months before the event giving rise to the claim, and (b) EUR 100.
These limits do not apply to liability that cannot be limited by law, including fraud, wilful misconduct, or death or personal injury caused by negligence.
13. Indemnity
You will indemnify and hold Fresko harmless against third-party claims, damages and reasonable costs arising from Your Content, from content you publish through the Service, or from your breach of these Terms or of applicable law.
14. Suspension and termination
- You may stop using the Service and close your account at any time.
- We may suspend or terminate your access if you materially breach these Terms, if your payment fails, if required by law, or if your use poses a risk to the Service or to others. Where practical, we will give notice and an opportunity to fix the problem.
- On termination your right to use the Service ends immediately. You should export anything you want to keep beforehand. Account data is deleted in accordance with our Privacy Policy.
- Sections that by their nature should survive termination do so, including sections 5, 6, 9, 11, 12, 13 and 16.
15. Changes to these Terms
We may update these Terms. We will update the "Last updated" date above and, for material changes, give notice by email or in the Service before they take effect. Continuing to use the Service after the effective date means you accept the updated Terms. If you do not accept them, stop using the Service and cancel your subscription.
16. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Fresko is established, and the courts of that jurisdiction have exclusive jurisdiction over any dispute — without prejudice to any mandatory protections available to you as a consumer in your country of residence.
The governing law, the competent courts, and Fresko's registered entity name and address will be stated here once confirmed by our legal team, and are available on request in the meantime.
17. General
- These Terms, together with the Privacy Policy and any plan-specific terms, are the entire agreement between us regarding the Service.
- If any provision is held unenforceable, the rest remains in effect.
- Our failure to enforce a provision is not a waiver of it.
- You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Neither party is liable for failure to perform due to events beyond its reasonable control.
